Welcome to The Dailypay Service (the “Service”, “Platform”, “Website”), operated by DP Payroll Services Ltd (“we,” “us,” or “our”). By accessing our website or utilizing our payroll administration services, you (“Client,” “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these terms, you must not use our services.

1. Scope of Service

The Dailypay Service provides B2B automated payroll bureau administration, gross-to-net calculations, workforce shift data validation, and automated administrative reporting tools.

  • No Financial Services or Banking: The Platform is an administrative data processor and payroll bureau. We do not operate as a credit institution, bank, payment institution, or money transmitter. We do not provide consumer credit, loans, wage advances, or financial lending products.
  • No Investment or Discretionary Management: We do not manage, invest, or yield interest on any data, balances, or records processed through our system.

2. Operational Payroll Balance & Administrative Execution

To facilitate automated, daily payroll processing, the Client utilizes a pre-allocated structural account model.

  • Pre-Funding Obligation: The Client agrees to maintain an adequate, non-interest-bearing Operational Payroll Balance within the system prior to any scheduled payroll data release.
  • Administrative Authorization: The Client explicitly authorizes the Platform to execute automated payroll administration and distribute calculated net funds to the Client’s designated workers, contractors, or employees strictly up to the limit of the available Operational Payroll Balance.
  • Funding Sufficiency: We assume no liability for incomplete payroll runs, processing delays, or worker disputes resulting from the Client’s failure to maintain a sufficient Operational Payroll Balance.

3. Client Obligations & Data Accuracy

  • Accuracy of Records: The Client is solely responsible for the precision, legality, and validity of all timesheet entries, shift logs, tax codes, and worker payment credentials uploaded to the platform.
  • Regulatory Compliance: The Client guarantees that all payroll instructions comply with local employment laws, national minimum wage regulations, and applicable HMRC reporting guidelines.
  • User Access Security: The Client is responsible for maintaining the confidentiality of all corporate portal login credentials and monitoring user access levels within their organization.

4. Fees and Payment Terms

  • Service Fees: The Client agrees to pay all administrative fees, software licensing subscriptions, or transaction processing costs in accordance with the signed commercial agreement or pricing schedule.
  • Deductions: We reserve the right to deduct agreed-upon platform service fees directly from the Client’s billing method or operational balance as structured in the Client’s service contract.

5. Data Protection and Confidentiality

Both parties agree to handle all personal, corporate, and financial data in strict compliance with the UK GDPR and the Data Protection Act 2018. Our data collection, storage, and processing workflows are governed by our live Privacy Policy.

6. Limitation of Liability

  • Administrative Buffer: The Platform acts as an administrative data processor. We are not liable for any operational losses, tax penalties, HMRC audits, or employment tribunals arising from incorrect data provided by the Client.
  • Indirect Losses: To the maximum extent permitted by law, DP Payroll Services Ltd shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business reputation.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Northern Ireland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
